I do hereby appoint the members of the Board of Directors of First Federal Savings and Loan Association of Newark, or the Official Proxy Committee thereof, in office from time to time, as my proxy and authorize them in my absence from any meeting to cast the votes I/we would be entitled to cast if personally present on any and all matters, from time to time, and from year to year, until this proxy is cancelled by writing delivered to the Association.

By consenting to this acknowledgment, I authorize a majority of said Directors or a majority of the official Proxy Committee to cast my votes.
